How can we help?
Business Terms & Conditions
Ping Culture, Ltd. (“Ping Culture Technology,” “we,” “us,” “our”) provides its health and fitness content and services to you through its mobile applications…
These Partner Terms of Service ("Partner Terms") apply to businesses, venues, brands, and other organisations that register for or use the Pingfluence dashboard, subscriptions, or related services (each, a "Partner", "you", or "Customer"). They are issued by Ping Culture Ltd (trading as Pingfluence), a company registered in England and Wales with business address 23 Keith Grove, London ("Pingfluence", "we", "us", "our").
By signing up, subscribing, posting an offer, or otherwise using the Service, you agree to these Partner Terms, our Privacy Policy (incorporated by reference), and any order form or written agreement that references them.
Changes to these Partner Terms
We may update these Partner Terms from time to time. We will post the current version in our help centre and update the "last revised" date.
Business Customers (including subscribers): If we make a material change to these Partner Terms that adversely affects your rights or obligations, we will give you at least thirty (30) days' prior notice by email to the address on your account (or as otherwise required by your written contract). The change will take effect at the end of that notice period unless you terminate your subscription in accordance with the Subscription Terms before the effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Partner Terms.
Non-retroactivity: Updated Partner Terms apply from their effective date forward. They do not rewrite or replace terms that governed a specific incident, dispute, or collaboration that occurred before the effective date, except where required by law.
Our role and what your fee covers
Pingfluence provides a software platform and marketplace tools that help you publish collaboration offers, connect with Creators (influencers and content creators), and manage campaigns. We are not your agent, employee, or PR adviser.
Subscription and platform fees cover access to the Service and related support described in your plan. They do not include reputation management, crisis communications, legal advice, or an obligation for us to manage, edit, or influence a Creator's account of their experience at your venue, including content about discrimination, harassment, or safety incidents.
Except as expressly stated in these Partner Terms, we do not investigate criminal conduct at your premises, mediate disputes between you and a Creator about everyday service matters, or act as a regulator. We may take platform actions (for example suspending offers) where described below.
Subscription Terms
- Pingfluence is provided as a software-as-a-service product.
- Unless otherwise agreed in writing, you subscribe for a minimum initial term of three (3) months from the effective date of your subscription.
- After the initial term, subscriptions renew month-to-month unless you give written notice of cancellation at least thirty (30) days before the date you want cancellation to take effect.
- We may adjust fees on renewal with advance notice. Statutory rights and any bespoke contract you have with us prevail over this summary where they differ.
Creator collaborations — your responsibilities
When you invite or accept Creators through Pingfluence, you are responsible for honouring the offer you published, treating invited Creators with the same standard of care as paying guests, and complying with applicable law (including equality, health and safety, and licensing obligations).
- Standard of care: Creators attending under a collaboration offer must receive courteous service and safe access to your premises. You will take reasonable steps to address abusive or discriminatory behaviour by other guests or staff directed at a Creator, consistent with how you would respond for a paying customer.
- Written procedure and named manager: You maintain a written procedure for handling discrimination, harassment, threats, and safety incidents involving guests (including Creators). For each confirmed Creator booking, you designate an on-shift manager or duty holder who can implement that procedure and who is identifiable to the Creator on arrival where practicable.
- You own your conduct: You are solely responsible for your staff, premises, policies, complaints handling, cooperation with police or regulators, and interactions with other guests. Pingfluence is not responsible for your conduct or for resolving Creator complaints about your service except where we choose to take platform action under these Partner Terms.
- Incident notification to Pingfluence: If a Serious Incident (as defined below) involving a Creator occurs on your premises during a collaboration, you will notify us at safecollab@pingfluence.com within twenty-four (24) hours of becoming aware, with a factual summary and the name of your on-shift manager. This does not replace any obligation to contact emergency services or regulators.
- Suspension: We may pause or suspend your offers, bookings, or account after a Serious Incident, if you fail to provide your incident procedure when reasonably requested, or if continued access poses a risk to Creators or to the platform, without liability to you for such platform actions taken in good faith.
A "Serious Incident" means discrimination, harassment, threats, violence, sexual misconduct, or another incident that a reasonable person would view as a safety or dignity concern at your venue during a Creator collaboration, beyond routine service complaints.
No content suppression
You must not require Pingfluence to instruct, pressure, or request a Creator to remove, alter, delay, or soften lawful content that describes a Serious Incident or your conduct in connection with it. You may not make collaboration benefits conditional on such suppression.
This section does not limit your rights regarding unlawful content, intellectual property infringement, or breach of agreed usage licences for promotional assets, but it clarifies that truthful accounts of Serious Incidents are not "misuse" of the platform solely because they are critical of you.
Use of Creator content
Where a Creator grants you a licence through the platform or an offer, you may use their collaboration content for the agreed promotional purposes, with attribution where required. You must not use content in a way that is unlawful or that misrepresents the Creator's personal brand.
Incident-related content: The foregoing does not give you the right to demand that Pingfluence censor a Creator's lawful content about a Serious Incident, and does not override the No content suppression section above.
Data, CCTV, and subject access requests
You are the data controller for personal data you collect about guests and Creators in your business (including CCTV, incident reports, and staff notes). Pingfluence is not responsible for your CCTV systems or for responding to data subject requests relating to data you control.
If a Creator or Pingfluence reports a Serious Incident, you will preserve relevant CCTV and incident records that may relate to the report until you are advised otherwise by your legal advisers or regulators, subject to your own retention policies and the law.
Where you receive Creator data through the Service, you must use it only to fulfil collaborations, comply with law, and as described in our Privacy Policy and your own privacy notices. You must comply with UK GDPR and the Data Protection Act 2018.
Non-circumvention and acceptable use
You will not use information obtained through Pingfluence to circumvent the platform and avoid fees. You will not use the Service for unlawful discrimination, harassment, or fraud. Breach may result in suspension or termination.
Liability and indemnity
(Subject to legal review — limitations and indemnities must comply with UK law, including the Unfair Contract Terms Act 1977.)
To the fullest extent permitted by law, Pingfluence is not liable for indirect or consequential losses, loss of profit, or loss of reputation arising from your use of the Service or from Creator content about your business.
You are responsible for claims, losses, and liabilities arising from your conduct, your premises, your staff, your breach of these Partner Terms, or your violation of law, and you will indemnify Pingfluence against reasonable losses and costs we incur as a result of such claims brought against us, except to the extent caused by our negligence or wilful misconduct.
Nothing in these Partner Terms excludes liability that cannot be excluded under applicable law.
Dispute resolution
The parties will attempt to resolve disputes in good faith. If unresolved, disputes may be referred to mediation and, if still unresolved, to binding arbitration under LCIA rules in London, unless mandatory law requires otherwise or you have consumer rights that cannot be waived.
These Partner Terms are governed by the laws of England and Wales.
Last revised: October 2025 (draft for legal review — update date when published).
